Terms of Service

1. Eligibility

You must be at least 18 years old to use the Service. By using it, you confirm that you meet this requirement and that you are able to enter into a binding agreement.

2. Your account

You are responsible for the activity on your account and for keeping your sign-in method (email or Google account) secure. Tell us right away at [[SUPPORT_EMAIL]] if you believe your account has been accessed without permission. We may suspend or close accounts that violate these Terms.

3. The Service

SONAI lets you create and chat with AI characters, build personas, and share content with other users. AI-generated content is produced by automated systems. It is fictional, may be inaccurate or offensive, and is not advice of any kind, including medical, legal, financial, or psychological advice. Do not rely on it for decisions that matter.

We may change, suspend, or discontinue any part of the Service at any time. We will try to give reasonable notice of material changes.

4. Credits and subscriptions

Credits. Some features consume credits. New accounts receive a starting balance. Credits have no cash value, cannot be transferred, and may expire as described in the Service. Prices per action are shown in the app and may change.

Subscriptions. Paid plans renew automatically each billing period until cancelled. Subscription credits are granted each period and reset at the end of the period. You can cancel at any time from the billing portal; cancellation takes effect at the end of the current period and you keep access until then.

Payments and refunds. Payments are processed by Stripe. Except where the law requires otherwise, purchases are final and non-refundable. If you believe you were charged in error, contact us within 14 days at [[SUPPORT_EMAIL]].

Taxes. Prices may exclude taxes, which are added at checkout where applicable.

5. Your content

You keep ownership of the content you create on the Service, including characters, personas, chats, and images you upload ("User Content"). You grant SONAI a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, and display User Content as needed to run and improve the Service, and, for content you choose to publish, to show it to other users. This license ends when you delete the content or your account, except for copies other users have already made through the Service and for backups kept for a limited time.

You are responsible for your User Content. You confirm that you have the rights needed to post it and that it does not violate these Terms or any law.

Content generated by the AI in response to your prompts is yours to use, to the extent permitted by law, but we cannot guarantee it is unique, and similar output may be generated for other users.

6. Acceptable use

You agree not to:

• Create, upload, or request content that sexualizes minors, depicts non-consensual sexual activity, or promotes violence, terrorism, self-harm, or hatred against protected groups.
• Impersonate any real person or organization, or create characters that portray real private individuals without their consent.
• Harass, threaten, or defame others.
• Upload malware, scrape the Service, bypass rate limits, credit accounting, or security measures, or use the Service to build a competing dataset or model.
• Use the Service for any unlawful purpose or in violation of any applicable law.
• Share your account or resell access to the Service.

We may remove content and suspend or terminate accounts that break these rules, with or without notice.

7. Reporting and moderation

We review reported content and may use automated tools to detect violations. If your content is removed or your account is restricted and you believe this was a mistake, contact us at [[SUPPORT_EMAIL]].

8. Intellectual property

The Service, including its software, design, and branding, belongs to SONAI or its licensors and is protected by intellectual property laws. Apart from the rights expressly granted in these Terms, you may not copy, modify, or distribute any part of the Service.

9. Third-party services

The Service relies on third parties such as Supabase, Railway, Stripe, Google, and AI model providers. Their availability and terms are outside our control.

10. Termination

You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Sections 5 (for existing licenses), 8, 11, 12, and 13 survive termination.

11. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or appropriate.

12. Limitation of liability

To the fullest extent permitted by law, SONAI and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the Service. Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or USD 100, whichever is greater.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Governing law and disputes

These Terms are governed by the laws of [[GOVERNING_LAW_JURISDICTION]], without regard to conflict-of-law rules. Any dispute will be resolved in the courts located in [[VENUE]], and you consent to their jurisdiction.
